Terms of Service

1. Acceptance of Terms
By accessing or using Propel ("the Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not use the Service. These Terms apply to all visitors, users, and others who access or use the Service.
2. Description of Service
Propel is a software-as-a-service platform that enables freelancers and independent professionals to create proposals, send contracts for electronic signature, generate invoices, and collect payments. The Service is offered on a subscription basis.
3. Account Registration
You must create an account to use the Service. You agree to provide accurate, current, and complete information during registration and to keep your account credentials secure. You are responsible for all activity that occurs under your account. Notify us immediately at support@aipropel.app if you suspect unauthorized access.
You must be at least 18 years old and capable of entering into a legally binding contract to use the Service.
4. Subscription and Billing
The Service is billed on a monthly subscription basis at the rate displayed at checkout. Billing is processed through Paddle, our authorized reseller and Merchant of Record. By subscribing, you authorize Paddle to charge your payment method on a recurring basis.
Subscriptions automatically renew unless cancelled before the renewal date. You may cancel at any time from your account settings. Cancellation takes effect at the end of the current billing period — you will retain access until then. We do not provide refunds for partial periods.
5. Free Trial
We offer a 14-day free trial with no credit card required. At the end of the trial, continued access requires a paid subscription. We reserve the right to modify or discontinue the free trial at any time.
6. Acceptable Use
You agree not to use the Service to:
- Violate any applicable law or regulation
- Send fraudulent proposals, contracts, or invoices
- Impersonate any person or entity
- Upload malicious code or interfere with the Service's operation
- Harvest or collect user data without consent
- Resell or sublicense the Service without written permission
We reserve the right to suspend or terminate accounts that violate these rules without notice.
7. Electronic Signatures
Contracts signed through Propel are captured with the signatory's email address, IP address, and timestamp. You acknowledge that e-signatures collected through the Service are intended to satisfy legal requirements under applicable electronic signature laws, including the U.S. ESIGN Act and the EU eIDAS Regulation, where applicable. You are solely responsible for ensuring the legal validity of your contracts in your jurisdiction.
8. Intellectual Property
You retain full ownership of all content you create using the Service, including proposals, contracts, and invoices. By using the Service, you grant Propel a limited, non-exclusive license to store, process, and display your content solely as necessary to provide the Service.
The Propel name, logo, and software are owned by us and may not be copied, modified, or used without written permission.
9. Data and Privacy
Your use of the Service is also governed by our Privacy Policy, which is incorporated into these Terms by reference. By using the Service, you consent to the collection and use of your data as described in the Privacy Policy.
10. Disclaimer of Warranties
The Service is provided "as is" and "as available" without warranties of any kind, express or implied. We do not warrant that the Service will be uninterrupted, error-free, or free of viruses. We disclaim all implied warranties, including merchantability, fitness for a particular purpose, and non-infringement.
11. Limitation of Liability
To the maximum extent permitted by law, Propel shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or goodwill, arising out of or related to your use of the Service. Our total liability for any claim shall not exceed the amount you paid us in the 12 months preceding the claim.
12. Indemnification
You agree to indemnify and hold harmless Propel and its officers, directors, employees, and agents from any claims, damages, or expenses (including reasonable legal fees) arising from your use of the Service, your content, or your violation of these Terms.
13. Termination
You may close your account at any time from your account settings. We may suspend or terminate your account if you breach these Terms, fail to pay, or if we discontinue the Service, with reasonable notice where possible. Upon termination, your right to use the Service ends immediately. We will retain your data for 30 days after termination, after which it may be permanently deleted.
14. Changes to Terms
We may update these Terms from time to time. We will notify you of material changes by email or by posting a notice in the Service. Continued use of the Service after the effective date of changes constitutes acceptance of the updated Terms.
15. Governing Law
These Terms are governed by the laws of the jurisdiction in which Propel is incorporated, without regard to conflict of law provisions. Any disputes shall be resolved exclusively in the courts of that jurisdiction.
